WestRock Acquires KapStone reported by Greg Kishbaugh W estRock Co., Norcross, Georgia, has agreed to buy Kap- Stone Paper and Packaging Corp., Northbrook, Illinois, for about $3.5 billion.WestRock, reportedly the No. 2 packag- ing company behind International Paper, last year bought Multi Packaging Solutions International Ltd. and sold its division that makes soap dispensers and perfume sprayers to focus on its core paper and packag- ing businesses. The deal, which is set to close in the quarter ending September 30, is expected to immedi- ately add to WestRock’s adjusted earnings and cash flow and generate savings of about $200 million by the end of fiscal 2021, the companies said. WestRock, created in 2015 by the $16 billion merger of Mead- Westvaco and Rock-Tenn, said it expects the deal to boost mar- gins in its North American corrugated packaging business, used in the industrial and consumer end-markets. KapStone will be integrated intoWestRock’s corrugated pack- aging business. Founded in 2005, KapStone is a North American producer and distributor of containerboard, corrugated products WestRock said the deal was valued at about $4.9 billion, in- cluding assumption of KapStone’s net debt of about $1.36 billion.

Companies Commit To Package Recycling At the World Economic Forum in Davos, 11 companies have announced that they will work toward using 100 percent reusable, recyclable or com- postable packaging by 2025 or earlier. The companies include international brands Amcor, Ecover, evian, L’Oréal, Mars, M&S, PepsiCo, The Coca-Cola Company, Unilever, Walmar t, and Werner & Mertz. Making A Pledge The companies have been working with the Ellen MacArthur Foundation to hasten the transition to a circular economy. The Foundation estimates the 11 companies are responsible for six-million metric tons of plastic pack- aging each year. Separately, fast-food chain McDon- ald’s also pledged to recycle 100 per- cent of its customer’s packaging across the world by 2025. PIA Forms Partnership With Utah Clean Air Printing Industries of America’s Environmental, Health, and Safety (EHS) Affairs Department and Printing Industries of Utah (PIU), now part of Pacific Printing Industries (PPI) Association, has formed a partnership with the Utah Clean Air Partnership (UCAIR). The partnership will offer a training pro- gram to Utah printers on reducing air pollution.Addi- tional partners in this program include the Specialty Graphic Imaging Association (SGIA) and Flexograph- ic Technical Association (FTA). The Utah Department of Air Quality has set forth new regulations for reducing volatile organic com- pound emissions from the printing industry, and en- suring that members of the printing industry meet these regulations requires outreach and education. UCAIR has made this education and outreach possi- ble with their grant to PIA, PIU, and partners SGIA and FTA. The program will take place in late spring or early summer of 2018 and will be open to printing opera- tions in a 7-county area around Salt Lake City, Utah, at Salt Lake Community College.

KapStone also owns Victory Packaging, a packaging solutions distribution company with facilities in the United States, Canada and Mexico. It employs 6,200 people in its 91 locations in North America. The transaction is expected to generate annual run- rate cost synergies and performance improvements of approximately $200 million by the end of fiscal 2021 that WestRock expects will be captured through the integration of the KapStone operations into WestRock’s corrugated packaging system. The categories of benefits include process and capital im- provements at mill and box plant locations, convert- ing and network optimization, procurement and administrative efficiencies. The acquisition will en- able WestRock to supply additional corrugated pack- aging to Victory Packaging. The acquisition will accelerateWestRock’s plans to improve margins in its North American corrugated packaging business. The addition of KapStone’sWest Coast facilities report- edly improves WestRock’s ability to serve customers in this area and reduce costs across its supply chain. In ad- dition, this expansion opens new opportunities for We- stRock to sell the full suite of its product portfolio to KapStone’s current customers in this region. The addition of KapStone’s complementary special- ty kraft paper offerings that WestRock does not offer today enables WestRock to provide a broader prod- uct portfolio to existing customers, as well as pro- vides new oppor tunities to sell WestRock’s enterprise-wide offerings to KapStone’s customers. Increases mix of virgin fiber based paper in We- stRock’s paper portfolio. KapStone’s 3 million tons of paper is made using 78 percent virgin fiber and 22 percent recovered fiber. This increases WestRock’s overall mix of virgin fiber from 65 percent to 67 percent. The transaction is subject to a number of custom- ary closing conditions, including a vote by Kap- Stone’s stockholders, and is expected to close during the quarter ending September 30. PIA Launches Redeveloped iLearning Center Printing Industries of America has launched its newly redeveloped iLearning Center, now a compli- mentary member benefit for its printer members at non-additional charge.The new iLearning Center is said to feature better content, organization, and an improved learning management system.

Sustainability Drives Shift To Flexible Packaging A new report from global packaging firm Smithers Pira, The Future of Flexible Packaging to 2022 , iden- tifies sustainability as one of the main reasons brand owners are switching from traditional materials like glass and metal to flexible packaging types. The report says flexible packaging sales were val- ued at $219.5 billion in 2016. It predicts that the sales will grow at an annual rate of 4.3 percent to reach $282.6 billion by 2022. The report noted mounting pressure on brand own- ers and retailers to reduce the negative environmen- tal effects of their packaging. As a result, Smithers Pira notes that brand owners are reducing material usage without impairing pack performance; using more recycled and recyclable polymers in packaging; and investigating the use of bioplastic packaging “For the packaging converter and its logistics chain, flexible packaging uses fewer resources and less en- ergy than other forms of packaging,” according to Smithers Pira. Apex Forms Partnership With Draychem Apex International, headquartered in Hapert, near Eindhoven in the Netherlands, has joined forces with Draychem Ltd in the UK to provide a complete hard- ware and maintenance supply service to the printing industry in Great Britain. Draychem is also now the appointed Apex agent in Ireland for sales of anilox rolls/sleeves and glue sets. Apex manufactures and supplies anilox rolls for the label, flexible packaging, corrugated, offset and indus- trial coating industries. Apex has regional facilities in Brazil, India, Italy and North America. Global Packaging Services Market To Reach $50 Billion The value of the global packaging services market is forecast to grow from $33.7 billion in 2017 to $50 billion in 2022, according to new research from Smithers Pira. The report said the market will increase at a com- pound annual growth rate of 9.5 percent due to fac- tors including the introduction of new business models and greater vertical integration. The study noted an increasing trend of packaging converters that offer in-house design services, which it argued is a straightforward way to add value to customers. Other developments the report highlighted as dri- ving global packaging services market growth includ- ed the continued rise of e-commerce, the new possibilities offered by smart and intelligent packag- ing, and digital printing as a maturing technology with the means to personalize products.

ICPF To Host Corrugated Career Teleconference

On February 22nd, the International Corrugated Packaging Foundation (ICPF) will conduct its annual Teleconference on The Business of Corrugated Pack- aging & Displays and the Career Opportunities. More than 500 packaging, graphic design, marketing & sales, supply chain management, business and other students and faculty on 20 college and university campuses are expected to participate. This national broadcast is not a webcast, but a live video confer- ence utilizing professional WKAR TV personnel and TV broadcast equipment at central Michigan’s PBS studios for two-way interactivity.
