Sofrecom sells its business unit in Argentina to Grupo Olmos

The BDO Transaction Services team in Argentina, provided financial due diligence and M&A support to Grupo Olmos on the purchase of Sofrecom Argentina. SofrecomArgentina, a company of Orange group, is a provider of computer services, information technology and network infrastructure. It is one of the international leaders in IT services and solutions and networks specialising in Digital Transformation, with more than 120 clients in the region. Grupo Olmos, is a leading Argentine holding company in healthcare services and media. It owns more than eight communications media, of which the best known are: Cronica and BAE Negocios.

The BDOTransaction Services team in Argentina provided buy-side due diligence (financial, accounting, tax and labor) and inventory support toGeorgalos on the purchase of Alimesa S.A. Alimesa S.A., located in the north of La Rioja, has 45 employees and produces cocoa powder under the brands Toddy, Zucoa and Okey. Georgalos Hnos. S.A. was founded in 1939, and with 1,000 employees, four production plants and two distribution centres, it is one of the biggest Argentine food companies, which mainly produces candies and chocolates.

Acquisition of the CWGroup by Azelis S.A.

Azelis Australia is active in a broad range of markets – personal care, home care and industrial cleaning, agriculture and horticulture, pharmaceutical, animal health, food, CASE, leather and textile and timber treatment and other chemicals. The CWP Group is headquartered in Sydney, New SouthWales and specialises in the distribution of food ingredients for the bakery and meat market as well as specialty chemicals for the agriculture market. BDO was engaged by Azelis S.A to perform the financial and tax due diligence and assist with the SPA completion mechanism. BDO’s due diligence reports were very helpful for the structuring and completion of our CWP acquisition. The BDO teams provided regular updates and advice throughout the process that helped us achieve a positive outcome for both sides. We would not hesitate to recommend BDO for this type of work.

Nomura Research Institute, Ltd (NRI) completed the acquisition of Planit Test Management Solutions Pty Ltd (Planit) on 14 May 2021. NRI completed the acquisition through its Australian subsidiary Nomura Research Institute Australia, Pty Ltd. The acquisition of Planit builds on NRI’s previous investments in Australia including ASG Group Limited and Australian Investment Exchange Limited. Planit is headquartered in Sydney and specialises in providing software testing, quality engineering and automated testing solutions, as well as related consultancy services. BDO was engaged by Nomura Research Institute Australia to perform the financial and tax due diligence, and also to assist with the SPA completion mechanism drafting. BDO’s due diligence reports and advice were hugely helpful for evaluating our Planit acquisition and ensuring a positive outcome. The BDO teams provided advice throughout the process that helped us achieve a positive outcome, and worked to tight deadlines to ensure that the transaction progressed smoothly. We would not hesitate to recommend BDO’s due diligence services.

Financial due diligence on behalf of the lead investors at the occasion of a financing round of EyeD Pharma

The BDO Transaction Services team in Belgium performed the financial due diligence on the med-tech company EyeD Pharma in the context of its EUR45 million financing round. EyeD Pharma is a leader in the development and production of micro-implants ensuring a controlled release of drugs in ophthalmology. We had the opportunity to collaborate with the BDO Corporate Finance team at the occasion of our last (EUR45 million) financing round as BDOwas mandated by our lead investors for conducting the financial aspects of the due diligence of our project. While performed under a sharp time constraint, the BDO team’s work was done in a very rigorous and transparent mode. They showed a unique ability to quickly and precisely deep dive in our financial statements, cost accounting reports and business plans. Their contribution, rigorousness and constructive approach definitely helped to enhance the confidence between the parties in the preparation of the closing process.

The BDO Financial Due Diligence team in Belgium conducted the financial vendor due diligence on Diagenode. Diagenode is a dedicated supplier for sample preparation products for next generation sequencing, proteomics, and epigenetics research. The US based Hologic group acquired Diagenode.

Due diligence of one of the largest sanitation companies in Brazil for potential privatization

The BDO Transaction Services team in Brazil assisted the national bank with accounting, financial, tax, and labor due diligence of one of the largest sanitation companies in Brazil, COPASA, for potential desestatization (Brazil's National Privatization Program). Companhia de Saneamento de Minas Gerais – COPASA MG, with a history of more than 55 years, belongs to the ESG sector, its shares are currently traded on the B3 under the symbol CSMG3, and is listed on the Novo Mercado, a segment that requires higher standards transparency and corporate governance rules. The Company's main activities include the supply of drinking water (collection, treatment and distribution of treated water to final consumers), sanitary sewage (collection, transport, treatment and final disposal of sewage, from the building connection to the final disposal in the environment), urban cleaning and solid waste management. In December 2020, COPASA owned 640 concessions for the provision of water supply services, serving 11.8 million people through 5.5 million units, and 310 sewage concessions, serving 8.3 million people with sewage services through 3.8 million units.

F12.net is a leading managed IT service provider of comprehensive IT platforms designed to eliminate the IT risk and complexity for small and medium-sized entities across Canada. In 2020 F12.net partnered with Canadian based mid market Private Equity firmClairvest, with the intention of continuing to help scale F12.net to new levels. In 2021, the BDO Financial andTax Diligence team in Canada advised F12.net on its two acquisitions, Xylotek Solutions Inc. ('Xylotek') and My Blue Umbrella ('MBU'). Xylotek is a leader in providing IT services to small and medium-sized enterprises ('SME') in the southwest region of Ontario, Canada. The addition of Xylotek adds capable leadership, bench strength, and geographic reach to F12, aiding in F12’s goal to eliminate IT risk and complexity for SMEs across Canada. MBU, is a full-service IT business-transformation company with an extensive range of services in the Greater Toronto Area of Canada.

Acquisition of MindBeacon Holdings Inc. by CloudMD Software and Services Inc

The BDO Transaction Services team in Canada advised CloudMD, a healthcare technology company on its acquisition of MindBeacon, a digital mental healthcare platform that provides a continuum of care.

Under the leadership of BDO Chile, a cross border team with the participation of BDO Peru and Paraguay conducted a buy-side due diligence for the Brazilian environmental management group Ambipar in the context of the acquisition of 'Disal Ambiental Holding'. Disal is a Chilean company with more than 40 years of experience in comprehensive environmental solutions and operations in Chile, Peru and Paraguay.

Acquisition of Elaboradora de Envases S.A. (EDENSA) by Metalpren

The BDO Transaction Services team in Chile provided a buy-side due diligence to the Peru based metal containers and lids manufacturer 'Metalpren' on the acquisition of 'EDENSA', a Chilean tin containers producer with more tan 50 years of experience. EDENSA is a leader in the industry with participations in the fruit and vegetable, fishing, paint and other markets.

Acquisition of Solid Power Distribution A by BayWa r.e.

BDO supported BayWa during the acquisition of a leading wholesaler of components for photovoltaic powerplants in the Czech Republic. The BDO Transaction Services team in the Czech Republic provided financial and tax due diligence services to BayWa GmbH in connection with the acquisition of Solid Power Distribution, a leading wholesaler of components for photovoltaic powerplants in the Czech Republic. The Prague based Transaction Services team also assisted with purchase price negotiations, inventory count review at closing and provided SPA advisory to BayWa.

The BDO Transaction Services teams in Denmark and Sweden provided financial and tax due diligence services to Efficy SA from Belgium on two transactions during 2021.
